Violators will be permanently banned and may face legal action.

10. Governing Law & Jurisdiction

These terms and conditions, and any disputes arising out of or related to the use of this platform, shall be governed by and construed in accordance with the laws of the Sultanate of Oman. Users explicitly agree to submit to the exclusive jurisdiction of the Omani Courts for the resolution of any legal matters.

11. Indemnification

You agree to indemnify, defend, and hold harmless Energy Solutions Intelligence, its officers, directors, employees, and agents from any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform, including, but not limited to, unauthorized commercial use of our data or reports.

12. Force Majeure

Energy Solutions Intelligence shall not be liable for any failure or delay in performance under these terms due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, or major cyber-attacks.

13. Digital Products & No-Refund Policy

Due to the highly sensitive and proprietary nature of our digital products, industry reports, and data sets, all sales, subscriptions, and downloads are final. Energy Solutions Intelligence strictly enforces a No-Refund Policy. By completing a purchase or downloading premium content, you acknowledge that you waive your right to a refund or chargeback.

14. Single User License & Anti-Sharing Policy

All subscriptions, premium reports, and digital products are licensed for single-user or internal organizational use only. Sharing login credentials, forwarding downloaded reports to external parties, or redistributing proprietary data to competitors or third parties without prior written authorization from Energy Solutions Intelligence is strictly prohibited. Any confirmed violation will result in immediate account termination without refund and may be subject to further legal action for commercial copyright infringement.

15. Severability Clause

If any provision of these Terms of Service is found by a competent court — including the Omani Courts — to be unlawful, void, or unenforceable, such provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions. The remainder of the Terms shall continue in full force and effect.

16. User-Submitted Data in Analytical Tools

When users voluntarily input proprietary financial figures, project parameters, or corporate data into our interactive tools (such as LCOH Calculators, WACC Modelers, or ROI Analyzers), such inputs are processed entirely client-side in your browser and are not stored, transmitted to, or retained by our servers. Energy Solutions Intelligence makes no claim of ownership over user-submitted data and accepts no liability for any decisions made based on the calculator outputs derived from user-provided inputs.

17. Non-Assignment

You may not assign, sublicense, or transfer any of your rights or obligations under these Terms of Service to any third party without the express written consent of Energy Solutions Intelligence. Any purported assignment in violation of this clause shall be null and void. Energy Solutions Intelligence reserves the right to assign its rights and obligations at any time, including in the event of a merger, acquisition, or asset sale.

18. Sanctions & International Trade Compliance

By accessing this Platform, you represent and warrant that you are not (a) located in a country subject to international trade sanctions or embargoes, (b) listed on any governmental restricted-party list (including UN, US OFAC, or EU sanctions lists), nor (c) using this Platform for any purpose that would violate applicable international trade control laws. Energy Solutions Intelligence reserves the right to immediately suspend or terminate access for any user found to be in violation of this provision.

19. Prohibition on Reverse Engineering & Model Replication

Users are expressly prohibited from reverse engineering, decompiling, recreating, or building competing products or derivative works based on our proprietary financial models, algorithmic methodologies (including our LCOH, IRR, and WACC frameworks), data architectures, or scoring systems. Attempting to reconstruct or replicate the intellectual core of our analytical tools — whether for internal, commercial, or academic purposes — constitutes a material breach of these Terms and our intellectual property rights.

20. Account Suspension & Termination Rights

Energy Solutions Intelligence reserves the absolute right, at its sole discretion, to suspend or terminate any user's access to the Platform, premium features, or subscriptions, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms of Service. Upon termination, your right to use the Platform will immediately cease.

21. Disclaimer of Implied Warranties

THE PLATFORM, ITS CONTENT, AND ALL ANALYTICAL TOOLS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ENERGY SOLUTIONS INTELLIGENCE EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

22. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices published by Energy Solutions Intelligence on the Platform, shall constitute the entire agreement between you and Energy Solutions Intelligence concerning the Platform. They supersede and extinguish all previous agreements, promises, assurances, warranties, representations, and understandings between us, whether written or oral, relating to their subject matter.

23. Waiver

No waiver of any term of these Terms of Service shall be deemed a further or continuing waiver of such term or any other term. The failure of Energy Solutions Intelligence to assert any right or provision under these Terms of Service shall not constitute a waiver of such right or provision.

24. DMCA & Copyright Infringement Claims

Energy Solutions Intelligence respects the intellectual property rights of others. If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement and is accessible via the Platform, please notify our Copyright Agent at contact@energy-solutions.co with a formal DMCA notice including: a description of the copyrighted work, its location on the site, your contact information, and a statement made under penalty of perjury that you are the copyright owner or authorized to act on the owner's behalf.
